Governance

The business of the organisation is managed by a Board of Directors and the Constitution permits up to 12 Directors and requires them to be members of the organisation. They are elected on an annual basis by the membership.

The Board seeks to have Directors with a range of the skills and experience necessary to fulfill the increasingly complex management of charities.

The core responsibility of the Board includes the setting of the strategic direction of the organisation, monitoring financial management and developing policies and procedures to ensure the best quality performance is achieved.

Board
There are currently 8 Directors.  The directors have skills in the health professions, accountancy, IT and management.  They also represent people with CF and parents of children with CF.

Why a new constitution?

The current constitution was written in 1983 and whilst it has served us well it was considered a new version was needed to reflect changes in corporation law, to update the wording and make provision for modern methods of communication.  Over 27 years there have been many changes in Board structures and governance requirements.

6.1 Objects of the Company
These essentially remain the same with alterations in wording only.

7. Membership

7.2 Member’s liability on winding up
Previously this amount was $100.00 and it is now $2.00 per member

7.4 – 7.13
Matters relating to admission as a Member; categories of members; membership fees and other membership matters remain unchanged with changes in wording only

Annual General Meetings and General Meetings
These remain unchanged except that a quorum at a meeting is now 6 Members present as against 15 in the previous constitution.

Form of Proxy
Allowance is made for the electronic lodgement of proxies.

26 Number of Directors
Previously the number of Directors was not to exceed twelve
New constitution – the number of Directors (not including alternate Directors) must not be less than three and not more than twelve unless otherwise determined by general meeting.

28 Term of appointment
Will now be that a Director must retire from office at the conclusion of the third annual general meeting held after such Director was appointed or re-appointed.
Previously the term of appointment was twelve months.

Chief Executive Officer and Powers of Directors.

There is now a new section dealing with the appointment of a CEO and the powers given to a CEO.

38.4 Quorum for Directors’ meetings
Unless otherwise determined by the Directors, three Directors form a quorum at a meeting of Directors.

39 Meetings by Technology
There are new provisions for allowing the use of communication technologies for holding a Directors meeting.

49 Notices

49.6 Notice by fax or electronic mail
This is a new provision.

52 Indemnity of Officers, Insurance and Access
This is a new provision.
